Company conversions
In many cases, it is possible to convert one type of company to another, subject to the rules and limitations of the Companies Act 2006. In others, much the same effect can be achieved by transferring the business (or other activities) to a new entity of the required type. Our services include:
- re-registering a private company limited by shares to a public company (plc)
- re-registering a public company (plc) to a private company limited by shares
- re-registering a private company limited by shares to a registered unlimited company
- re-registering a registered unlimited company to a private company limited by shares
- re-registering a registered unlimited company as a private company limited by guarantee
- registering private company limited by shares as a Community Interest Company (c.i.c.) limited by shares
- registering a company limited by guarantee as a Community Interest Company (c.i.c.) Limited by guarantee
- company limited by shares to company limited by guarantee, or vice versa. It is not possible to convert a company limited by shares to one limited by guarantee or vice versa, though it may be possible to achieve a similar effect by changing the existing company's name and registering a new company (of the required type) in the old name, and then transferring the assets from the old to the new company.
- company limited by shares to limited liability partnership (LLP) or vice versa. It is not possible to convert a registered limited company to a limited liability partnership (LLP) or vice versa, though it may be possible to achieve a similar effect by changing the existing entity's name and registering a new entity (of the required type) in the old name, and then transferring the assets from the old to the new entity.
- incorporating a sole trader's business as a limited company (registering the company and transferring the existing sole trader's business to it).
- incorporating a partnership as a limited company (registering the company and transferring the existing partnership business to it).
- incorporating a partnership as a limited liability partnership (LLP) (registering the LLP and transferring the existing partnership business to it).
