Information needed to register an LLP

To register your limited liability partnership we need information from you about the company and its members. There are a lot of details to complete and you will probably want to collect all the information before you begin.

The information required to register your company is:

  1. Name of the LLP
  2. Registered office
  3. Members

1. Name of the LLP

The full company name. There are very detailed rules about what names may be used. The rules are the same for an LLP as for a company, except that the name must end in "Limited Liability Partnership" or "LLP".

2. Registered office

The address of the proposed company's registered office (including postcode).

3. Members

Details of each of the members of the LLP. There must be at least two members and it cannot be registered with just one. There must be at least two designated members. A designated member is one who is authorised to send information (such as annual returns and accounts) to Companies House and is responsible for doing so. For each member the following information must be supplied:

  • Full name
  • Service address (which will go on the public record)
  • Residential address (available to public authorities and credit reference agencies only)
  • Date of birth
  • Country of residence
  • Any former names (does not apply when a woman has changed her name on marriage)

Because the information is being registered electronically, without the members signing any paper forms, Companies House also insists on any three of the following pieces of security information:

Telephone number

last 3 digits

Town of birth

first 3 letters

Mother's maiden name

first 3 letters

Father's first name

first 3 letters

National Insurance number

last 3 digits

Passport number

Eye colour

Member's service address

This was brought in on 1st. October 2009 so that members ' home addresses would not be available on the public file. The address must be one at which the member can be contacted. It may be the member 's home address, but need not be. If the LLP has business premises, that address is the obvious one to use. If the business is being run from a member 's home, then that will probably be the LLP's registered office address anyway, so there is not much point in using a service address that is different from the home address. We offer a registered office service and a member 's service address service if you want to use our address.
