How many directors must a company have?
A private company must have at least one director and a public company two: CA 1985, sec282. Note, however, that every company must have a secretary and if there is only one director, that person cannot also be the secretary: sec283. There is no statutory maximum number of directors.
Table A, article 64 provides: Unless otherwise determined by ordinary resolution,
the number of directors (other than alternate directors) shall not be subject
to any maximum but shall be not less than two.
